These Terms of Service govern the relationship between MEIKAI (hereinafter "MEIKAI") and the client (hereinafter "Client") for all professional services delivered. By using MEIKAI's services or accepting a proposal, the Client confirms having read and accepted these terms in full.
MEIKAI provides consulting and implementation services in the field of applied artificial intelligence for business processes, including:
The exact scope of each service is defined in the proposal or signed contract between the parties.
The professional engagement begins upon written acceptance (including by email) of the proposal by the Client. Each service has defined scope, delivery timeline, and fee agreed before work begins.
The Clarity Scan is a standalone product. The Client has no obligation to proceed with additional services after delivery of the report.
Fees are quoted in Swiss francs (CHF) or euros (EUR) in the proposal. Unless otherwise agreed in writing:
Failure to pay within agreed terms suspends service delivery. MEIKAI reserves the right to apply late payment interest in line with Swiss law.
To enable proper service delivery, the Client agrees to:
Reports, process maps and deliverables produced by MEIKAI in the course of a service are licensed exclusively to the Client upon completion of payment. MEIKAI retains ownership of the methods, frameworks and proprietary tools used in their production.
The Client may not resell, sub-license or present MEIKAI deliverables as independent creations.
Both parties agree to keep confidential any commercial, operational and strategic information received in the course of the professional relationship. MEIKAI does not disclose client information to third parties without explicit consent, except as required by law.
MEIKAI's services are advisory and diagnostic in nature. MEIKAI does not guarantee specific results from the application of recommendations contained in reports or from the implementation of systems. MEIKAI's liability for direct damages is limited to the fee paid for the specific service that caused the damage.
MEIKAI is not liable for indirect damages, loss of profit or business interruption.
The Client may cancel a service by written notice. For the Clarity Scan, cancellation is possible up to 48 hours before the start of the initial briefing, with a full refund. After the briefing has begun, the fee is non-refundable.
For the Continuity plan, withdrawal takes effect from the month following written notice.
These Terms are governed by Swiss law. In the event of a dispute, the parties commit to attempting an amicable resolution within 30 days of written notice of disagreement. If no resolution is reached, the exclusive place of jurisdiction is the domicile of MEIKAI in Switzerland.
